Acuerdo de Asesor Independiente con Splashy Fruits® & Cafe

1. PROPÓSITO DEL ACUERDO

Este acuerdo establece los términos y condiciones bajo los cuales el Asesor Independiente podrá vender los productos de Splashy Fruits® & Café mediante el modelo de distribución directa al consumidor.

Splashy Fruits® & Café celebra este acuerdo con plena confianza en la integridad, capacidad, deberes, obligaciones y responsabilidades del Asesor Independiente, reconociendo que el éxito de la marca depende de la participación de Asesores Independientes responsables, eficientes, activos y exitosos. Se espera que su conducta comercial esté libre de publicidad, marketing, precios y prácticas de servicio falsas, engañosas o fraudulentas.

2. USO DE LA MARCA

• Splashy Fruits® & Café es una marca registrada; su uso está estrictamente limitado a la promoción y venta de productos autorizados.

• El Asesor Independiente no está autorizado a modificar el nombre, logo o imagen de Splashy Fruits® & Café.

• El Asesor Independiente no está autorizado a crear productos similares o derivados bajo otro nombre.

3. RESTRICCIONES DE VENTA

• Los productos de Splashy Fruits® & Café deben venderse exclusivamente al consumidor final.

• Está prohibida la reventa en supermercados, restaurantes, cafés u otros negocios minoristas sin autorización previa por escrito.

• No está permitido vender productos al por mayor ni reempaquetarlos para su venta bajo otra marca.

4. COMPROMISOS DEL ASESOR INDEPENDIENTE

• Mantener la imagen de Splashy Fruits® & Café actuando con integridad.

• Respetar los precios sugeridos para evitar competencia desleal entre asesores.

• No hacer declaraciones falsas sobre los beneficios del producto.

• Realizar las ventas de manera ética y profesional.

• Se considera Asesor Activo a aquel que vende un mínimo de 200 Splashy’s al mes o genera un ingreso mínimo de $1000 mensuales en comisiones por ventas personales. Mantener este estatus es necesario para acceder a beneficios como precios preferenciales, comisiones, entrenamientos y participación en incentivos especiales.

5. FORMACIÓN DE EQUIPO Y PATROCINIO

El Asesor Independiente tiene la opción de formar un equipo ofreciendo la oportunidad a otras personas residentes en el estado de Florida para convertirse en asesores independientes de Splashy Fruits® & Café. Es responsabilidad del Asesor:

• Presentar a los candidatos la versión más reciente del acuerdo y del plan de compensación antes de que adquieran el Kit de Inicio.

• Asegurarse de que los candidatos comprendan la filosofía del mercadeo en red y expresen el deseo de construir un negocio basado en dicha filosofía.

6. REQUISITOS PARA CONVERTIRSE EN ASESOR INDEPENDIENTE DE Splashy Fruits® & Café

1. Tener un número de identificación tributaria válido, ser mayor de edad para contratar legalmente y residir en el estado de Florida.

2. Adquirir un Kit de Inicio.

Nota:

• No es necesario comprar productos al por mayor como inventario.

• El Asesor puede dirigir a los clientes a su Página Web Personal (splashyfruits.com/usuario) para que realicen pedidos directamente.

• El Asesor también puede tomar pedidos de clientes y registrarlos para que los pedidos sean entregados directamente.

• El número de identificación tributaria es requerido únicamente para fines fiscales, se mantiene confidencial y no se utilizará para ningún otro propósito.

7. TERMINACIÓN DEL ACUERDO

Splashy Fruits® & Café se reserva el derecho de terminar este acuerdo de manera inmediata si el Asesor:

• No cumple con las reglas de uso de la marca o con las restricciones de venta.

• Daña la reputación de la empresa mediante prácticas inapropiadas.

• Utiliza material publicitario no autorizado o altera la identidad de la marca.

8. ACEPTACIÓN DEL ACUERDO

Al firmar este documento, el Asesor Independiente confirma que ha leído, entendido y aceptado plenamente todos los términos y condiciones de este acuerdo, y se compromete a cumplir con todas sus disposiciones.

Independent Advisor Agreement with Splashy Fruits® & Cafe

1. PURPOSE OF THE AGREEMENT

This agreement establishes the terms and conditions under which the Independent Advisor may sell Splashy Fruits® & Café products through the direct-to-consumer distribution model.

Splashy Fruits® & Café enters into this agreement with full confidence in the integrity, capability, duties, obligations, and responsibilities of the Independent Advisor, recognizing that the brand’s success relies on the participation of responsible, efficient, active, and successful Independents Advisors. It is expected that their business conduct is free from false, misleading, or deceptive adverti

sing, marketing, pricing, and service practices.

2. USE OF THE BRAND

• Splashy Fruits® & Café is a registered trademark; its use is strictly limited to the promotion and sale of authorized products.

• The Independent Advisor is not authorized to modify the name, logo, or image of Splashy Fruits® & Café.

• The Independent Advisor is not authorized to create similar or derivative products under another name.

3. SALES RESTRICTIONS

• Splashy Fruits® & Café products must be sold exclusively to the end consumer.

• Resale in supermarkets, restaurants, cafés, or any other retail business without prior written authorization is prohibited.

• Selling products in bulk or repackaging them for sale under another brand is not permitted.

4. COMMITMENTS OF THE INDEPENDENT ADVISOR

• Maintain the image of Splashy Fruits® & Café by acting with integrity.

• Respect the suggested prices to avoid unfair competition among advisors.

• Do not make false statements about the product’s benefits.

• Conduct sales in an ethical and professional manner.

An Active Advisor is defined as someone who sells a minimum of 200 Splashy’s per month or generates a minimum of $1,000 in monthly commissions from personal sales.

5. TEAM BUILDING AND SPONSORSHIP

The Independent Advisor has the option to build a team by offering the opportunity to other individuals residing in the state of Florida to become independent advisors of Splashy Fruits® & Café. It is the Advisor’s responsibility to:

• Present prospective candidates with the most recent version of the agreement and the compensation plan before they purchase the Starter Kit.

• Ensure that candidates understand the philosophy of network marketing and express the desire to build a business based on this philosophy.

6. REQUIREMENTS TO BECOME AN INDEPENDENT ADVISOR OF Splashy Fruits® & Café

1. Possess a valid tax identification number, be of legal age to enter into a contract, and reside in the state of Florida.

2. Purchase a Starter Kit.

Note:

• It is not necessary to purchase products at wholesale prices as inventory.

• The Advisor can direct clients to their Personal Web Page (splashyfruits.com/username) to order directly.

• The Advisor can also take client orders and register them so that orders are delivered directly to clients.

• The tax identification number is required solely for tax purposes, remains confidential, and will not be used for any other purpose.

7. TERMINATION OF THE AGREEMENT

Splashy Fruits® & Café reserves the right to immediately terminate this agreement if the Advisor:

• Fails to comply with brand usage rules or sales restrictions.

• Damages the company’s reputation through inappropriate practices.

• Uses unauthorized advertising material or alters the brand’s identity.

8. ACCEPTANCE OF THE AGREEMENT

By signing this document, the Independent Advisor confirms that they have read, understood, and fully accepted all the terms and conditions of this agreement, and commit to complying with all its provisions.
